NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED

I. NAME OF SPONSOR & ADMINISTRATOR “Strahan & Sara Side Hustle Showdown Contest (the “Contest”) is sponsored by The Execution Factor Fund, LLC (hereafter referred to as “Sponsor”) in connection with Strahan & Sara and American Broadcasting Companies, Inc. (hereafter referred to as “Administrator”).

II. ELIGIBILITY Open only to legal residents of the 50 United States and the District of Columbia; eighteen (18) years of age or older at the time of entry. Entrants must be owners of a small business valued at $75,000 or less that sells an actual product (no prototype) or is engaged in retail sales. ENTRANTS MUST BE AVAILABLE TO TRAVEL TO NEW YORK CITY AND APPEAR ON STRAHAN & SARA THE WEEK OF AUGUST 12, 2019. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six (6) months, performed services for Strahan & Sara (“Show”), American Broadcasting Companies, Inc., The Execution Factor Fund, LLC, their parent, subsidiary, and affiliated companies and entities, their advertising/promotional agencies or vendors, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the prize, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such foregoing individuals, are not eligible to enter or win. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, stepsiblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year. Void where prohibited. All federal, state and local laws and regulations apply.

III. HOW AND WHEN TO ENTER Contest begins on August 2, 2019 at 11:00 am Eastern Standard Time (EST) and ends on 11:59pm EST August 8, 2019 (“Entry Period”). Entries must be electronically submitted and received by 11:59pm EST August 8, 2019. Entrants can use the direct link to enter www.strahanandsara.com/contest or go to Strahan & Sara’s Facebook or Instagram page and click on the Contest graphic. To enter, business owners must:

1) complete a registration form with their first and last name, city, state, email address, contact phone number, names and contact numbers for all business owners, answer a few questions about their product/retail business (name, description, etc.), answer questions regarding current and/or prospective distribution deals; 2) submit a statement of 250 words or less describing their business and explaining why they need business advice and financial backing; 3) Submit a video statement of 30 seconds or less showing their product/business, and describing their business and their background.

Sponsor and/or Administrator will determine if all conditions have been met and decisions of Sponsor and/or Administrator are FINAL in all aspects. The portions of the statement or video that exceeds the specified limitations may be disregarded by the judges. Additional semi-finalist and finalist entry/participation requirements are described below. ENTRANTS MAY NOT DROP OFF OR MAIL PRODUCTS TO STRAHAN & SARA OR THE EXECUTION FACTOR FUND, LLC AS PART OF THE ENTRY PROCESS. ANY PRODUCTS SHIPPED TO STRAHAN & SARA OR THE EXECUTION FACTOR FUND, LLC WILL NOT BE RETURNED AND WILL BE DESTROYED. RECEIPT OR ACKNOWLEDGMENT DOES NOT CONSTITUTE ANY REPRESENTATION AS TO CONTEST ELIGIBILITY AND WILL HAVE NO BEARING ON ENTRANT ADVANCING IN THE CONTEST. The Administrator’s computer is the time keeper for this Contest. Limit one (1) entry per business.

Sponsor & Administrator are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this Contest. In the event of a dispute over an electronic entry, prize will be awarded to the owner of the email account, not the name on the entry form. Except as otherwise contemplated by these Official Rules, and to the extent entrants may otherwise elect at the time of entry, information provided by you for this Contest is subject to Administrator’s privacy policy located at https://disneyprivacycenter.com/privacy-policy-translations/english (“Privacy Policy”)

IV. JUDGING CRITERIA; APPEARANCE, SELECTION AND NOTIFICATION Entrant submissions will be reviewed by a panel of judges to be selected by Administrator. All submissions will be judged based on the following criteria: how the product/retail business fills a need or solves a problem, quality of entry submissions, and compelling story of owner’s efforts to launch their business. A pool of “Semi-Finalists” will be selected by the judging panel to continue in the Contest. No more than nine (9) Semi-Finalists will be chosen; less may be chosen depending on number of entries and fulfillment of the judging criteria. Semi-Finalists will be notified on August 9, 2019 by email and/or phone. Semi-Finalists WILL BE REQUIRED to attend an in-person, on-air “pitch session” during the week of August 12, 2019 at the Strahan & Sara studios in Times Square and need to be prepared to potentially stay through the selection of the Finalist on Thursday, August 15. SEMI-FINALISTS MAY BE REQUESTED TO SUBMIT A COMPANY LOGO. IF REQUESTED, THAT LOGO SHOULD BE PROVIDED IN A VECTOR, .AI, OR .EPS FORMAT. Semi-Finalists will also be required to complete a Strahan & Sara appearance release. On each of three (3) consecutive shows, three (3) Semi-Finalists will appear separately and present their business to Kim Perell and up to two other judges during a live-to-tape recording of Strahan & Sara. ONLY THE ENTRANT AND CO-OWNER LISTED ON THE OFFICIAL ENTRY FORM WILL BE ALLOWED TO PRESENT TO JUDGING PANEL. NO EXCEPTIONS! Semi-Finalists must also bring no less than seven (7) and no more than ten (10) product samples, in their planned packaging with them for beauty shots and evaluation by the judges. PRODUCT SAMPLES MAY NOT BE SHIPPED TO STRAHAN & SARA OR THE EXECUTION FACTOR FUND, LLC. Judges will interview Semi-Finalists and give a collective score to their presentation based on the following criteria: “Great Idea”; “Presentation”; and “Business Plan”. Judges will collectively score each criterion on a scale of zero (0) to ten (10) points. On each of the three days, the Semi-Finalist with the highest score will be deemed a “Finalist”. In the event of a tie amongst Semi-Finalists for a Finalist position on one of the three shows, the tying Semi-Finalists from that show will advance to the Finalist competition. Finalists will be notified during the taping on the day of their presentation. Semi-Finalist show tapings will occur on or about Tuesday, August 13 and Wednesday, August 14. ENTRANTS MAY BE REQUESTED TO PROVIDE PRODUCT SHOTS AND COMPANY LOGOS. BOTH SHOULD BE AVAILABLE AS LAYERED FILES IN VECTOR, .AI, OR .EPS FORMATS. The Finalists WILL BE REQUIRED to appear on the “Strahan & Sara” live-to-tape recording the show on or about the afternoon of Thursday, August 15, 2019. All details of appearance will be at the sole discretion of the show. After their selection in the Semi-Finalist competitions, all Finalists will be given business advice by Kim Perell and format requirements for their final presentation.

During the Finalist competition, Entrants will again present their business to Kim Perrell and possibly up to two other judges. ONLY THE ENTRANT AND CO-OWNER LISTED ON THE OFFICIAL ENTRY FORM WILL BE ALLOWED TO PRESENT TO JUDGING PANEL. NO EXCEPTIONS! Judges will interview Finalists and give a collective score to their presentation based on the following criteria: “Great Idea”; “Presentation”; “Business Plan” and “Use of Business Advice.” Judges will collectively score each criterion on a scale of zero (0) to ten (10) points. The Finalist with the highest score will be deemed the Winner and will be announced during the competition taping. In the event of a tie, the tying Finalists will each be given 30 seconds to make one last pitch as to why they are most deserving of the support of The Execution Factor Fund, LLC. Kim Perrell will decide which Entrant made the best pitch and will select the Winner.

ALL DECISIONS OF JUDGES ARE FINAL AND BINDING. Odds of winning any prize are subject to the number of eligible entries received. In the event Semi-Finalists/Finalists are deemed ineligible, fail to comply with contest procedures, or are not available to attend the competition as specified, they will be eliminated. In the event a Finalist is eliminated, time permitting, the next highest scoring Semi-Finalist may be selected to participate. In the event the Winner is deemed ineligible, fails to comply with contest procedures, or is unable to claim prize as specified, the prize will be awarded to a runner-up Finalist, as selected by Kim Perell or her designee.

Final determination of Winner is always conditional on verification of eligibility and compliance with all rules and procedures by sole discretion of Sponsor and Administrator.

V. PRIZE The Winner will receive a cash prize of $25,000 (“Prize”). Sponsor and/or Administrator is not responsible for cancellation or preemption of show or for other circumstances that make it impractical or impossible to fulfill any element of the Prize. This prize cannot be purchased and, therefore, has no actual retail value. All expenses not specifically provided for herein are the Winner’s sole responsibility. Some restrictions may apply. Federal, state and local taxes are the sole responsibility of the Winner who must submit a validly executed w-9 form to claim the prize. Winner will received an IRS 1099 Form in the first quarter of 2020.

VI. RELEASES By entering this Contest, participants agree to be bound by these Official Rules and the decisions of the Sponsor and the Administrator, which shall be final in all matters relating to this contest. By participating in this Contest and/or accepting any prize that they may win, entrants agree to release Strahan & Sara, American Broadcasting Companies, Inc., and The Execution Factor Fund LLC, their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Contest and/or acceptance or use of the Prize, including but not limited to claims regarding: intellectual property; implied contract; theft of ideas; trade secrets; violation of contract(s); and/or injuries allegedly caused by product. Entrants authorize the Released Parties to use their name, voice, photograph, likeness, prize information, biographical data, city and state of residence and entry materials worldwide in perpetuity for programming, publicity, advertising and promotional material, in any and all media, now existing or hereinafter created or conceived, without further compensation, notification or permission, unless prohibited by law. Sponsor and/or Administrator is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s and/or Administrator’s sole discretion, without further obligation or compensation. Any attempt to deliberately damage any website or undermine the legitimate operations of this Contest may be a violation of criminal and civil laws, and should such an attempt be made, Administrator, or its designated representative, reserves the right to seek damages from any person associated with such actions to the fullest extent permitted by law. Administrator, or its designated representative, reserves the right to cancel, modify or suspend the Contest if it should become compromised in any way or if it becomes technically corrupted. To claim Prize, Winner must: (a) provide proof of age, identity and residency, as well as documentation of compliance with all Contest requirements upon request; and (b) sign and return affidavit of eligibility/compliance with rules, publicity/liability release and indemnification. Neither Sponsor nor the Released Parties will have any liability whatsoever for any injuries, losses or damages of any kind, including but not limited to personal injury or death, caused by any prize or resulting from acceptance, possession, use and/or misuse of any prize or participation in the Contest or any prize-related activities. Winner acknowledges that neither Sponsor nor its agents have made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize, if any, are subject to the manufacturer’s terms therefore and winner agrees to look solely to such manufacturers for any such warranty and/or guarantee. By submitting entry materials, entrants certify that such materials are original and created by entrant, the entrants have the necessary rights, permission and authority to submit such materials, and, if applicable, that entrants maintain a valid copyright in the materials. Entrants acknowledge that such materials may be included and/or discussed in the broadcast, that such discussion may include statements or opinions by the broadcast talent or others about the entrants, the entrants’ appearances and/or the materials, and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them. Entrants release the Released Parties from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any use of the materials and/or such materials and/or such statements or opinions made in connection with them during a broadcast.

VII. MISCELLANEOUS; WINNERS’ LIST Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the Contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned. The name of the Winner will be posted on the StrahanandSara.com website and on Strahan and Sara’s Facebook page (http://facebook.com/strahanandsara).
